M&A execution - Integration strategy

Decide what the deal is for, and how far each part of the business should integrate to deliver it.

An integration strategy starts from the due diligence and the business case. It decides which parts of the target are fully integrated, which are left alone, and where the answer is the best of both.

Take Finance. Does it merge completely, ERP included, or is it enough to provide the data for a monthly close? The right answer weighs the systems, the people and the value it brings, not just the synergy line.

We take a human-centric approach: culture is part of the strategy from the start, not a workstream added once the plan is set.

What we cover - The work

Led by a senior practitioner from the first conversation to the last decision.

  • Strategic direction. What the acquisition is for, drawn from the SPA, the due diligence and the executives, and written down as value drivers and objectives.
  • Level of integration by function. For each function: fully integrate, keep separate, or take the best of both, with the reasons and the trade-offs.
  • Synergy case. Each synergy tied to the value driver it comes from, so it can be tracked from the deal model to realised value.
  • Culture in the strategy. An early read of how the two organisations work, so the integration level chosen is one the people can carry.

Project type in atlanticma.ai: Integration. The strategy is the first stage of an Integration project in atlanticma.ai, and everything after it is planned against it.

In atlanticma.ai

The strategy is held in the same project the team will plan and run, so it stays the reference for every later decision.

  • Strategic Direction. The value drivers and objectives table: what the deal must deliver, agreed with the executives before any workstream starts.
  • Synergy tracking. Every synergy is tracked from the underwrite to realised value, against the value driver it came from.
  • Documents read, not retyped. The SPA and due diligence summaries are read into the project, so the strategy cites its sources.

Agents and practitioners, together

  1. Agent: Reads the SPA and due diligence summaries and drafts the value drivers and objectives.

    Practitioner reviews

Practitioner: Tests them with the executives and decides what the deal is for.

  2. Agent: Drafts a level of integration for each function, with the systems and people affected.

    Practitioner reviews

Practitioner: Sets the level for each function and agrees it with both leadership teams.

  3. Agent: Links each synergy to its value driver and sets up its tracking.

    Practitioner reviews

Practitioner: Signs off the synergy case the programme will be held to.
